Terms of Service

1. Scope

These Terms apply to DZS Labs products and services, including where applicable:

• web applications;
• mobile applications;
• desktop software;
• browser extensions;
• Google Workspace add-ons and integrations;
• Shopify applications;
• WordPress plugins and themes;
• templates and other downloadable products;
• APIs and integrations;
• subscription-based software;
• developer tools; and
• other digital products offered by DZS Labs.

A particular product may have additional terms, license terms, documentation, privacy notices, acceptable-use requirements, or marketplace conditions ("Product-Specific Terms").

Product-Specific Terms supplement these Terms.

If Product-Specific Terms conflict with these Terms, the Product-Specific Terms control with respect to the applicable product and subject matter.

2. Marketplace Terms

DZS Labs products may be distributed through third-party marketplaces, stores, or platforms, including platforms operated by companies such as Google, Apple, Shopify, WordPress, or browser vendors.

If you obtain a product through a third-party marketplace, additional marketplace terms may apply to your purchase, billing, subscription, installation, distribution, refund rights, or use of the product.

Where a marketplace's mandatory terms conflict with these Terms concerning a marketplace transaction, the applicable marketplace terms control to the extent required by that marketplace or applicable law.

DZS Infinity LLC remains the developer or provider of the DZS Labs product unless the applicable listing expressly states otherwise.

3. Eligibility and Authority

You may use our Services only if you are legally permitted to enter into a binding agreement.

If you use a DZS Labs product on behalf of a company, organization, merchant, store, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.

You are responsible for complying with laws, regulations, contractual obligations, and industry requirements that apply to your own use of our products.

4. Accounts

Some DZS Labs products require an account.

You agree to provide accurate information where account information is required and to keep that information reasonably current.

You are responsible for maintaining the confidentiality and security of your credentials and devices.

You must promptly notify us if you reasonably believe your account has been accessed without authorization.

You may not impersonate another person or organization or use credentials you are not authorized to use.

5. Third-Party Authentication

Some Services may allow you to authenticate through providers such as Google, Apple, Shopify, WordPress, or other identity providers.

Your use of such authentication services may also be governed by the applicable provider's terms and privacy policies.

We will request access only to information and permissions reasonably required for the applicable functionality.

6. Orders and Purchases

Products may be offered free of charge, for a one-time fee, by subscription, according to usage, or under another pricing model disclosed before purchase.

Submitting an order does not necessarily mean that we have accepted it.

We may decline or cancel an order where reasonably necessary because of fraud, pricing errors, technical problems, legal restrictions, payment failures, marketplace requirements, or product availability.

If we cancel a directly processed paid order after payment has been collected and no product or service has been provided, the applicable amount will be refunded.

7. Pricing and Taxes

Prices and applicable billing periods are displayed before purchase.

Prices may exclude taxes unless expressly stated otherwise.

Sales tax, VAT, GST, or similar taxes may be collected where required.

You are responsible for taxes imposed on your purchase except taxes imposed directly on DZS Infinity LLC's income.

Prices may change for future purchases or subscription periods.

For subscriptions, we will provide notice of price changes where required by applicable law or marketplace rules.

8. Payment Processing

Payments may be processed either:

• by DZS Infinity LLC through a third-party payment processor; or
• directly by the marketplace or platform through which you obtained the product.

Payment processors and marketplaces may collect and process payment information under their own terms and privacy policies.

Where payment is processed by a marketplace, billing disputes, payment-method management, and certain refund requests may need to be handled through that marketplace.

9. Subscriptions and Automatic Renewal

Some products may be offered through recurring subscriptions.

Where disclosed at purchase, subscriptions automatically renew for successive billing periods until cancelled.

You may cancel renewal using the account, billing portal, marketplace, or cancellation method associated with the applicable subscription.

Cancellation generally prevents future renewal. It does not automatically reverse charges already incurred.

Any mandatory cancellation or refund rights provided by applicable law remain unaffected.

10. Refunds and Cancellations

Refund eligibility depends on the applicable product, purchase method, marketplace requirements, Product-Specific Terms, and mandatory consumer law.

Purchases made through a third-party marketplace may be subject to that marketplace's refund process and refund rules.

Nothing in these Terms limits refund, withdrawal, cancellation, or consumer rights that cannot legally be waived.

11. Product Licenses

Unless a product is provided under separate license terms, DZS Infinity LLC grants you a limited, non-exclusive, revocable license to use the applicable DZS Labs product for its intended purpose and within the usage limits shown at purchase or in the product documentation.

The precise permitted number of users, websites, stores, devices, installations, projects, clients, or organizations may vary by product or license tier.

Purchasing a product does not transfer ownership of DZS Infinity LLC's intellectual property to you.

Separate license terms may apply to templates, developer assets, themes, plugins, source-code products, enterprise licenses, or other downloadable materials.

12. Open-Source Software

Some products may contain or incorporate open-source software.

Open-source components remain subject to their applicable licenses.

Where an open-source license grants rights that conflict with these Terms, the open-source license controls with respect to the relevant component.

WordPress plugins or components distributed through WordPress.org will be licensed consistently with applicable WordPress.org licensing requirements.

13. Acceptable Use

You must not use a DZS Labs product to violate applicable law or third-party rights.

You must not intentionally:

• introduce malware or malicious code;
• obtain unauthorized access to accounts, systems, or data;
• interfere with the security or availability of our Services;
• circumvent license, payment, subscription, authentication, or usage restrictions;
• use our infrastructure to conduct fraud, spam, phishing, abuse, or deceptive activity;
• falsely represent an affiliation with DZS Labs or DZS Infinity LLC; or
• use our Services in a manner prohibited by an applicable marketplace or platform.

Except to the extent expressly permitted by applicable law or an applicable open-source license, you may not reverse engineer, decompile, disassemble, reproduce, redistribute, sublicense, or commercially exploit proprietary DZS Labs software outside the rights granted by the applicable license.

14. Your Content and Data

Some products allow you to submit, connect, upload, transmit, generate, synchronize, or process content or data ("Your Content").

As between you and DZS Infinity LLC, you retain your rights in Your Content.

You grant DZS Infinity LLC only the rights reasonably necessary to host, process, transmit, transform, display, or otherwise handle Your Content in order to provide, secure, maintain, or support the functionality you request, subject to our Privacy Policy and applicable Product-Specific Terms.

You represent that you have the rights and permissions necessary to provide Your Content to the Service.

15. Third-Party Services

Some products integrate with or depend on third-party software, APIs, websites, platforms, hosting providers, payment providers, ecommerce services, productivity tools, or other services.

Third-party services are governed by their own terms and policies.

We do not control third-party services and cannot guarantee their continued availability, functionality, compatibility, pricing, policies, or APIs.

Changes made by a third party may require us to modify or discontinue affected functionality.

16. Marketplace and API Permissions

Where a product requests access to a third-party account, API, browser permission, store, website, document, file, or other resource, permissions should be used for the functionality described in the applicable product interface, documentation, marketplace listing, and privacy notice.

Users may be able to revoke certain permissions through the applicable third-party platform.

Revoking permissions may prevent some or all product functionality from operating.

17. Updates and Compatibility

We may provide bug fixes, security updates, compatibility updates, new functionality, or other product updates.

Some updates may be required to continue using a Service securely or to preserve compatibility with third-party systems.

We do not guarantee perpetual compatibility with every browser, operating system, marketplace, API, WordPress version, Shopify version, mobile device, third-party application, or other external technology.

18. Support

Available support levels may vary by product and plan.

A purchase does not include custom development, consulting, migration, implementation, or other professional services unless expressly stated.

19. Beta, Preview, and Experimental Features

We may provide beta, preview, experimental, early-access, or development functionality.

Such functionality may change, contain errors, have limited availability, or be discontinued.

You should not rely on experimental functionality for critical operations unless we expressly state that it is suitable for such use.

20. Intellectual Property

Except for third-party components and materials distributed under separate licenses, DZS Infinity LLC owns or licenses the intellectual property associated with DZS Labs products and Services.

This includes, as applicable, software, code, user interfaces, documentation, designs, product names, branding, graphics, websites, and other proprietary material.

"DZS Labs" is a brand of DZS Infinity LLC.

Nothing in these Terms grants you a right to use our names, logos, trademarks, or branding in a way that suggests endorsement, sponsorship, partnership, or affiliation without permission.

21. Feedback

If you voluntarily provide product feedback, ideas, or suggestions, you permit us to use that feedback to develop and improve our products without an obligation to compensate you.

This provision does not transfer ownership of Your Content or confidential information to us.

22. Privacy

Our processing of personal information is described in the DZS Labs Privacy Policy:

Certain products may have Product Privacy Notices describing the data, permissions, third-party integrations, retention rules, and processing practices applicable specifically to that product.

23. Security

We use reasonable administrative, technical, and organizational measures designed to protect the Services and information processed through them.

However, no internet-based service or electronic storage system can be guaranteed to be completely secure.

You are responsible for maintaining reasonable security for your own accounts, systems, websites, stores, credentials, and devices.

Security issues relating to DZS Labs products may be reported through the security contact published on our website.

24. Suspension and Termination

We may suspend or restrict access to a Service where reasonably necessary because of:

• a material violation of these Terms;
• fraud or abuse;
• a security threat;
• non-payment;
• illegal activity;
• a legal requirement;
• a marketplace or infrastructure-provider requirement; or
• discontinuation of the Service.

Where reasonable and lawful, we may provide notice and an opportunity to address the issue.

You may stop using our Services at any time.

Terms that by their nature should survive termination continue to apply after termination.

25. Service Changes and Discontinuation

We may modify or discontinue features or Services.

Where a material discontinuation affects a paid Service, we will take reasonable steps to provide notice where practicable and will comply with applicable contractual and consumer-law obligations.

26. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

We do not guarantee that a Service will always be available, uninterrupted, error-free, or compatible with every third-party product or future technology.

This section does not exclude warranties, guarantees, or statutory rights that cannot lawfully be excluded.

27. Limitation of Liability

To the maximum extent permitted by applicable law, DZS Infinity LLC and its affiliates, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data resulting from your use of a Service.

For claims relating to a paid Service, and to the maximum extent permitted by applicable law, DZS Infinity LLC's aggregate liability arising from that Service will not exceed the amount you paid for that Service during the twelve months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be excluded or limited.

28. Indemnification for Business Users

If you use a Service on behalf of a business or organization, then to the extent permitted by applicable law you agree to indemnify DZS Infinity LLC against third-party claims resulting from your unlawful use of the Service, your material violation of these Terms, or your infringement of third-party rights.

This section does not apply to consumers where such an obligation would be prohibited by law.

29. Consumer Rights

Nothing in these Terms limits mandatory consumer rights.

Depending on your location, you may have statutory rights concerning digital products, warranties, refunds, cancellation, withdrawal, or conformity of digital services.

30. Export and Legal Restrictions

You may not use or export our products in violation of applicable export-control, sanctions, or trade laws.

You are responsible for ensuring that your use is legally permitted in your jurisdiction.

31. Changes to These Terms

We may update these Terms to reflect changes to our products, business, legal requirements, security practices, or third-party platform requirements.

The "Last Updated" date identifies the latest revision.

Where required by law, we will provide additional notice before material changes become effective.

32. Governing Law

We may transfer these Terms as part of a merger, acquisition, corporate reorganization, or sale of relevant business assets, subject to applicable law.
